Modifications; Successors and Assigns. The terms, conditions and provisions of this Agreement shall not be modified or amended except by mutual agreement in writing among the Parties. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective assigns and successors in interest or title to all or any portion of the Property; provided, however, the Developer may not assign its rights under this Agreement except in accordance with the provisions of Section 6.02.
