Monitoring and Reporting. 6.1 The Recipient shall closely monitor the delivery and success of the Project throughout the Grant Period to ensure that the aims and objectives of the Project are being met and that this Agreement is being adhered to. 6.2 Where the Recipient has obtained funding from a third party for its delivery of part of the Project, the Recipient shall include the amount of such funding in its financial reports together with details of what that funding has been used for. 6.3 The Recipient shall on request provide the Catapult with such further information, explanations and documents as the Catapult may reasonably require in order for it to establish that the Grant has been used properly in accordance with this Agreement. 6.4 The Catapult may appoint an auditor to investigate whether The Recipient is complying with these Terms and Conditions. You agree to give the auditor access to Your Funded Activities records within 2 weeks of notice of his/her appointment. If the auditor determines that The Recipient should repay the grant or any part of it, The Catapult may recover the cost of the auditor’s work from The Recipient. 6.5 The Recipient shall permit any person authorised by the Catapult such reasonable access to its employees, agents, premises, facilities and records, for the purpose of discussing, monitoring and evaluating the Recipient's fulfilment of the conditions of this Agreement and shall, if so required, provide appropriate oral or written explanations from them. 6.6 In accordance with the Grant Offer Letter, the Recipient shall provide the Catapult with a final report on completion of the Grant Period which shall confirm whether the Project has been successfully and properly completed.

Monitoring and Reporting. 6.1 9.1 The Recipient shall closely monitor the delivery and success of the Project throughout the Grant Period period prior to Practical Completion to ensure that the aims and objectives of the Project are being met and that this Agreement is being adhered to.
6.2 9.2 The Recipient acknowledges that Salix and the Secretary of State, and any party authorised by Salix or the Secretary of State, may monitor the Project to ensure that the Project fulfils all requirements specified by Salix and/or the Secretary of State, including providing the energy savings and CO2 reductions envisaged and agreed with Salix at the outset of the Project.
9.3 On or before the date falling 5 Business Days after the first day of each calendar month during the period prior to Practical Completion, the Recipient shall provide Salix with a report, signed by the Accountable Officer, containing the information set out in Schedule 3 of the Grant Offer Letter (Monitoring Reports) in respect of the previous calendar month, together with copies of all invoices or other evidence of the total costs and expenses incurred in that calendar month.
9.4 Where the Recipient has obtained funding from a third party for its delivery of part of the Project, the Recipient shall include the amount of such funding in its financial the reports provided pursuant to Clause 9.3 together with details of what that funding has been used for.
6.3 9.5 Along with its first report provided pursuant to Clause 9.3, the Recipient shall provide Salix with a risk register and insurance review in the format requested by Salix. The Recipient shall address the health and safety of its staff in the risk register.
9.6 The Recipient shall on request provide the Catapult Salix (or any party authorised by Salix) with such further information, explanations and documents as the Catapult Salix (or such party authorised by Salix) may reasonably require in order for it to establish that the Grant has been used properly in accordance with this the Agreement.
6.4 The Catapult may appoint an auditor to investigate whether The Recipient is complying with these Terms and Conditions. You agree to give the auditor access to Your Funded Activities records within 2 weeks of notice of his/her appointment. 6.6 In accordance with 9.8 The Recipient shall, if so requested by Salix or the Grant Offer LetterSecretary of State, permit any person authorised by Salix or the Secretary of State for the purpose to visit the Recipient once every quarter to monitor the delivery of the Project. Where, in its reasonable opinion, Salix or, as applicable, the Secretary of State, considers that additional visits are necessary to monitor the Project, either party shall be entitled to authorise any person to make such visits on its behalf.
9.9 The Recipient shall provide the Catapult Salix with a final report on completion of the Grant Period Practical Completion which shall confirm whether the Project has been successfully and properly completedcompleted and which shall contain the information set out in Schedule 3 of the Grant Offer Letter (Monitoring Reports).
9.10 On each of the first three years following Practical Completion, the Recipient shall provide Salix with a report outlining the effectiveness of the Project in delivering energy savings and CO2 reductions, and containing such other information and evidence as is reasonably requested by Salix in relation to the Project.
9.11 The Recipient represents and undertakes (and shall repeat such representations on delivery of the relevant report or information):
9.11.1 that the reports and information it gives pursuant to this Clause 9 are accurate;
9.11.2 that it has diligently made full and proper enquiry of the matter pertaining to the reports and information given; and
9.11.3 that any data it provided pursuant to the Grant Application may be shared within the powers conferred by legislation with other organisations for the purpose of preventing or detecting crime.

6.8 Following the third payment of the Grant, the Recipient shall attend a meeting of the Funder’s Executive, the precise time and date of such meeting to be agreed in writing between the parties within 1 calendar month of the third payment of the Grant, to provide a presentation on the Catapult with a final report on completion Recipient’s activities and successes. The presentation will, amongst other things, assist the Funder in considering further Grant provision beyond the expiry of the Grant Period which save that no guarantee is given at the date of this Agreement that funds for further Grant are available or shall confirm whether the Project has been successfully and properly completedbe provided.

6.6 In accordance with the Grant Offer Letter, the . The Recipient shall provide the Catapult RSSB with a final report Final Report on completion of the Grant Period. For the purpose of clause 3.1, the Final Report shall be required as part of the Evidence for the final instalment of the Grant. Acknowledgment and publicity RSSB and the Recipient shall work together to develop an agreed written publicity strategy (“Publicity Strategy”) setting out the broad content and timings of public and media announcements concerning the Project. The purposes of the Publicity Strategy shall include ensuring that each party is briefed and ready to respond to any queries raised with that party as a result of any publication. During the Grant Period which neither the Recipient nor RSSB shall confirm whether publish any material referring to the Project unless in accordance with the Publicity Strategy or with the prior written agreement of the other party. Such written agreement shall not be unreasonably withheld and a response shall be provided within 14 days of any such request. The Recipient shall acknowledge the support of RSSB in any materials that refer to the Project and in any written or spoken public presentations about the Project. Such acknowledgements (where appropriate or as requested by RSSB or as required by the Publicity Strategy) shall include RSSB's name and logo (or any future name or logo adopted by RSSB) using the templates provided by RSSB from time to time. In using RSSB's name and logo, the Recipient shall comply with all reasonable branding guidelines issued by RSSB from time to time. The Recipient agrees to participate in and co-operate with promotional activities relating to the Project that may be instigated and/or organised by RSSB and as RSSB may reasonably require. The Recipient may also be required to produce a description of the Project for use and publishing by RSSB in addition to the information provided elsewhere under this Agreement. Despite clause 7.2, RSSB reserves the right to acknowledge the Recipient's involvement in the Project and use the public description of the Project already provided. Notwithstanding the provisions of clauses 7 to 9, RSSB may, at any time during or after the Grant Period, to disseminate knowledge relating to or deriving from the Project for the benefit of the rail industry by publishing reports of the Project (which may include material in reports submitted by the Recipient pursuant to clause 6) on its SPARK web tool. RSSB shall consult with the Recipient prior to such publication and shall (acting reasonably and prudently) give all due consideration to any request by the Recipient to withhold material from publication if such publication would: compromise the registration of any Intellectual Property Rights or; otherwise cause harm to the commercial interests of the Recipient. If the performance of the Recipient’s obligations pursuant to clause 6 would require the Recipient to deliver to RSSB material which the Recipient considers should be withheld from publication on the SPARK web tool, the Recipient shall clearly identify that material or shall deliver the relevant report in redacted-for-publication and confidential versions. The Recipient shall comply with all reasonable requests from RSSB to facilitate visits, provide reports, statistics, photographs and case studies that will assist RSSB in its promotional and fundraising activities relating to the Project. Intellectual Property Rights For the avoidance of doubt: all Background IPR shall remain the property of the party owning it (or , where applicable, the third party from whom its right to use the Background IPR has been successfully derived); and properly completedsubject to clauses 8.2 and 8.3, all Project IPR shall remain the property of the Recipient. If Schedule 1 provides for RSSB to support the Recipient through the provision of information, data, tools, models, Know-How or other materials: RSSB grants to the Recipient a royalty-free, non-assignable licence to use those materials for the purpose of the Project; without prejudice to clause 8.2.1, nothing in this Agreement grants or transfers any Intellectual Property Rights in such materials to the Recipient; and the Recipient’s use of any such materials will be subject to any terms and conditions (including any terms and conditions regulating the ownership of Intellectual Property Rights for data inputted into such materials) as are made available to the Recipient prior to its use of such materials. If Schedule 1 provides for RSSB actively to collaborate in the research activities constituting the project: the Project IPR in any inventions, designs, information, know-how, specifications, formulae, data, processes, methods, techniques and technologies (“Outcomes”) which are developed solely as a result of RSSB’s activities shall vest in RSSB; the Project IPR in any Outcomes developed as a result of the joint activities of the parties shall be owned jointly by them in equal and undivided shares by the parties. If any such jointly-owned Project IPR is registrable, the Recipient shall be responsible for the filing and prosecution of applications for registration on behalf of the parties and in their joint names, subject to RSSB co-operating in the provision of all necessary assistance, information and instructions. For the purpose of clause 8.3, RSSB’s “activities” do not include the mere provision of Grant by RSSB. The Recipient shall take all reasonable steps to register the Project IPR, where the Project IPR is registerable in such jurisdictions as may be commercially appropriate. To the extent that the Project IPR is not registerable, the Recipient shall take all reasonable steps to ensure it is adequately protected. If within [36] months of the end of the Grant Period RSSB believes (acting reasonably) that the Recipient has not taken reasonable steps to commercially exploit the Project IPR in accordance with the Exploitation Plan, it shall, immediately on RSSB’s written request: assign the Project IPR to RSSB or such person as may be specified by RSSB in writing for nil consideration; and grant to RSSB a licence on fair and reasonable commercial terms to use any related Background IPR required to make use of the Project IPR. 6.4 The Catapult may appoint an auditor to investigate whether The Recipient is complying with these Terms and Conditions. You agree to give the auditor access to Your Funded Activities records within 2 weeks of notice of his/her appointment. If the auditor determines that The Recipient should repay the grant or any part of it, The Catapult may recover the cost of the auditor’s work from The Recipient.

6.6 In accordance with 6.7 The Recipient shall permit any person authorised by the Grant Offer LetterFunder for the purpose to visit the Recipient once every quarter to monitor the delivery of the Outcomes. Where, in its reasonable opinion, the Funder considers that additional visits are necessary to monitor the Outcomes, it shall be entitled to authorise any person to make such visits on its behalf.
6.8 The Recipient shall provide the Catapult Funder with a final report on completion of the Grant Period which shall confirm whether the Project Outcomes has been successfully and properly completed.

6.6 In accordance with 8.5 The Recipient shall assist the Funder in providing (for each funding source) an end of Project report after the end of the relevant Grant Offer Letter, Period to confirm whether the Project has been successfully and properly completed including a lessons learnt log. Such assistance is to be completed no later than 30th September 2023.
8.6 The Recipient shall provide the Catapult Funder with a final monitoring report on completion when making its final Grant claim in accordance with the grant claim provisions set out in Part 2 of the Grant Period Schedule 2 and which shall confirm whether the Project has been successfully and properly completed.

6.6 In accordance with 6.4. The Recipient shall permit any person authorised by the Grant Offer LetterFunder to visit the Recipient once every quarter to monitor the delivery of the Project. Where, in its reasonable opinion, the Funder considers that additional visits are necessary to monitor the Project, it shall be entitled to authorise any person to make such visits on its behalf.
6.5. The Recipient shall provide the Catapult Funder with a final report on completion of the Grant Period which shall confirm whether and to what extent the Project has been successfully and properly completedcompleted in accordance with the Outcomes and include details on how funding received was allocated across the Project.
6.6. The Recipient shall provide the Funder with a financial report and an operational report on its use of the Grant or any Matched Funding and delivery of the Project every quarter through the monitoring and evaluation process outlined in Annex 3, and in such formats as the Funder may reasonably require. The Funder will provide a template format for such a report which details reporting requirements and timelines for reporting.
6.7. The Recipient shall keep informed of any changes to funding terms of any third-party funding (for example any Additional Funding or Matched Funding) and will, as part of the financial report and operational report, disclose any changes to the Funder. Where the Funder becomes aware of any such changes in funding terms it shall inform the Recipient where it is practicable and permissible to do so.
6.8. Along with its first quarterly financial report, the Recipient shall provide the Funder with a risk register and insurance review in the format provided by the Funder. The Recipient shall, amongst others, address the health and safety of its staff in the risk register.
6.9. The Funder will award the funding as allocated by the Department of Levelling Up, Housing and Communities [or its successor body(ies)], which will be dependent on the Recipient completing the Monitoring and Evaluation documentation correctly, and spending the funding as allocated in the previous period. If the profiled funding allocation is not spent, at their discretion the Department of Levelling Up, Housing and Communities may not provide further funding until the previous allocation is spent.

6.2 The Recipient shall provide RSSB with regular reports on its use of the Grant and delivery of the Project (the “Periodic Report”) in the format set out in Schedule 5 or as otherwise agreed with the Project Manager. The Periodic Report will be provided to RSSB on a monthly basis or on such dates as are agreed with the Project Manager.
6.3 In addition to the Periodic Reports pursuant to Clause 6.2, the Recipient shall provide a report every quarter and in such format as RSSB may reasonably require. The Recipient shall provide RSSB the quarterly report within 30 days of the end of each quarter to which it relates.
6.4 Where the Recipient has obtained funding from a third party for its delivery of part of the Project, the Recipient shall (in addition to its obligations under clause 2.3) include the amount of such funding in its financial reports together with details of what that funding has been used for.
6.3 6.5 The Recipient shall on request provide the Catapult RSSB with such further information, explanations and documents as the Catapult RSSB may reasonably require in order for it to establish that the Grant has been used properly in accordance with this Agreement.
6.4 The Catapult may appoint an auditor to investigate whether The Recipient is complying with these Terms and Conditions. You agree to give the auditor access to Your Funded Activities records within 2 weeks of notice of his/her appointment. If the auditor determines that The Recipient should repay the grant or any part of it, The Catapult may recover the cost of the auditor’s work from The Recipient.
6.5 6.6 The Recipient shall permit any person authorised by the Catapult RSSB such reasonable access to its employees, agents, premises, facilities and records, for the purpose of discussing, monitoring and evaluating the Recipient's fulfilment of the conditions of this Agreement and shall, if so required, provide appropriate oral or written explanations from them.

Where, in its reasonable opinion, the Funder considers that additional visits are necessary to monitor the Project, it shall be entitled to authorise any person to make such visits on its behalf. The Recipient shall provide to the Catapult with Funder for approval a final report on completion Report within three months of the end of the Grant Period or termination (whichever is earlier) which shall confirm whether the Project has been successfully and properly completed. ACKNOWLEDGMENT AND PUBLICITY The Recipient shall acknowledge the support of the Funder in any materials that refer to the Project and in any written or spoken public presentations about the Project. Such acknowledgements (where appropriate or as requested by the Funder) shall include the Funder's name and logo (or any future name or logo adopted by the Funder) using the templates provided by the Funder from time to time. In using the Funder's name and logo, the Recipient shall comply with all reasonable branding guidelines issued by the Funder from time to time. The Recipient agrees to participate in and co-operate with promotional activities as far as reasonably possible relating to the Project that may be instigated and/or organised by the Funder. The Funder may acknowledge the Recipient's involvement in the Project as appropriate without prior notice. The Recipient shall comply with all reasonable requests from the Funder to facilitate visits, provide reports, statistics, photographs and case studies that will assist the Funder in its promotional and fundraising activities.

Monitoring and Reporting. 6.1 The Recipient shall closely monitor the delivery and success of the Project throughout the Grant Period to ensure that the aims and objectives of the Project are being met and that this Agreement is being adhered to.
6.2 The Recipient shall provide the Funder with a financial report and an operational report on its use of the Grant and delivery of the Project every six months and in such formats as the Funder may reasonably require. The Recipient shall provide the Funder with each report within four weeks of the request by the Funder.
6.3 Where the Recipient has obtained funding from a third party for its delivery of part of the Project, the Recipient shall include the amount of such funding in its financial reports together with details of what that funding has been used for.
6.3 6.4 The Recipient shall on request provide the Catapult Funder with such further information, explanations and documents as the Catapult Funder may reasonably require in order for it to establish that the Grant has been used properly in accordance with this Agreement.
6.4 The Catapult may appoint an auditor to investigate whether The Recipient is complying with these Terms and Conditions. You agree to give the auditor access to Your Funded Activities records within 2 weeks of notice of his/her appointment. If the auditor determines that The Recipient should repay the grant or any part of it, The Catapult may recover the cost of the auditor’s work from The Recipient.
6.5 The Recipient shall permit any person authorised by the Catapult Funder such reasonable access to its employees, agents, premises, facilities and records, for the purpose of discussing, monitoring and evaluating the Recipient's fulfilment of the conditions of this Agreement and shall, if so required, provide appropriate oral or written explanations from them.
6.6 In accordance with The Recipient shall permit any person authorised by the Grant Offer LetterFunder for the purpose to visit the Recipient once every quarter to monitor the delivery of the Project. Where, in its reasonable opinion, the Funder considers that additional visits are necessary to monitor the Project, it shall be entitled to authorise any person to make such visits on its behalf.
6.7 The Recipient shall provide the Catapult Funder with a final report on completion of the Grant Period which shall confirm whether the Project has been successfully and properly completed.

Monitoring and Reporting. 6.1 7.1 The Recipient shall closely monitor the delivery and success of the Project throughout the Grant Period through Project Milestones to ensure that the aims and objectives of the Project Aims are being met and that this Agreement is being adhered to, and deliver written updates to the Funder every three months and respond to any queries from the Funder with respect to such updates. The updates delivered to the Funder shall include, as a minimum, the following information:
(a) the progress of the Project against the Project Aims during that period;
(b) a summary of activities undertaken with respect to the Project during that period; and
(c) the Grant monies disbursed by the Recipient during that period and the purposes for which the relevant monies were used.
6.2 Where the Recipient has obtained funding from a third party for its delivery of part of the Project, the Recipient shall include the amount of such funding in its financial reports together with details of what that funding has been used for.
6.3 7.2 The Recipient shall on shall, as soon as reasonably practicable following a request from the Funder, provide the Catapult Funder with such further information, explanations and documents as the Catapult Funder may reasonably require in order for it to establish that the Grant is being or has been used properly in accordance with this Agreement, and in particular to monitor delivery of the Project Aims.
