Mortgage Consolidation. The Original Mortgages and the Gap Mortgage and the respective liens thereof, as spread in accordance with Paragraph 1 above, are hereby combined and consolidated so that together they shall hereafter constitute in law but one mortgage, a single lien, covering the Property (as hereinafter defined) and securing the principal sum of ONE HUNDRED FORTY-ONE MILLION FIVE HUNDRED THOUSAND AND NO/100 DOLLARS ($141,500,000.00), together with interest thereon as provided in the Note.

The Company shall not effect any such consolidation, merger or sale unless (a) the Company provides the holder hereof with not less than 10 days prior written notice of such consolidation, merger or sale (provided that the failure to give such notice shall not affect the validity of such corporate event), and (b) prior to the consummation thereof, the successor entity (if other than the Company) resulting from consolidation or merger or the entity purchasing such assets assumes, by written instrument, the obligation to deliver to each such holder such shares of stock, securities or assets as, in accordance with the foregoing provisions, such holder may be entitled to acquire.

  • Substantive Consolidation Each Originator hereby acknowledges that this Agreement and the other Transaction Documents are being entered into in reliance upon the Company’s identity as a legal entity separate from such Originator and its Affiliates.
