Mortgagee’s and Landlord Waivers. Debtor shall cause each mortgagee of real property owned by Debtor (upon request by Secured Party) and each landlord of real property leased by Debtor to execute and deliver instruments satisfactory in form and substance to Secured Party by which such mortgagee or landlord waives its rights, if any, in the Collateral.

This Section shall not apply to "as-extracted" Collateral.

Upon request by Secured Party, each Grantor shall cause each mortgagee of real property owned by such Grantor and each landlord of real property leased by such Grantor to execute and deliver agreements reasonably satisfactory in form and substance to Secured Party by which such mortgagee or landlord waives or subordinates their rights, if any, in the Collateral and permits Secured Party to enter the subject property on and after the occurrence of an Event of Default; provided that, for the avoidance of doubt, no Collateral Access Agreement shall be required for the Borrower’s leased premises at 000 Xxx Xxxxxxxx Xxxxxxxxx, Xxxxx Xxxx, Xxxxx 00000.

Grantor shall use commercially reasonable efforts to cause each mortgagee of real property owned by Grantor (upon request by Administrative Agent) and each landlord of real property leased by Grantor to execute and deliver Instruments reasonably satisfactory in form and substance to Administrative Agent by which such mortgagee or landlord waives their rights, if any, in the Collateral and permits Administrative Agent to enter the subject property upon the occurrence and during the continuance of an Event of Default.

Each Grantor (other than Borrower) shall cause each mortgagee of real property owned by such Grantor (upon request by Lender) and each landlord of real property leased by such Grantor to execute and deliver Instruments satisfactory in form and substance to Lender by which such mortgagee or landlord waives their rights, if any, in the Collateral and permits Lender to enter the subject property on and after the occurrence of an Event of Default.
