Both the Authority and Supplier represent, warrant and undertake to each other that: it has the power to enter into, perform and deliver its obligations under this Framework Agreement and has taken all action necessary to authorise such entry, performance and delivery; neither the entry into, nor the obligations contemplated by, this Framework Agreement shall: violate or conflict with the provisions of its constitutional documents; to its knowledge, amount to a violation or breach of any Applicable Laws or regulations in any relevant jurisdiction; to its knowledge, amount to a violation or default with respect to any relevant order, decree or judgment of any court or any governmental or regulatory authority in any jurisdiction to which it is a Party or by which it is bound, where the violation or default is material in the context of the transactions contemplated by this Framework Agreement; or to its knowledge, result in a breach of, or constitute a default under, any instrument to which it is a Party or by which it is bound, where the breach or default is material in the context of the transactions contemplated by this Framework Agreement; it has not relied on or been induced to enter into this Framework Agreement by any representation other than those expressly set out in this Framework Agreement; the obligations under this Framework Agreement constitute its legal, valid and binding obligations, enforceable in accordance with their terms (subject to applicable bankruptcy, reorganisation, insolvency, moratorium or similar laws affecting creditors' rights generally) and subject, as to enforceability, to equitable principles of general application (regardless of whether enforcement is sought in a proceeding in equity or at law); as at the date of this Framework Agreement and throughout the Term of this Framework Agreement, it is duly incorporated and validly existing under the laws of the place of its incorporation; and as at the date of this Framework Agreement and throughout the Term of this Framework Agreement, it shall discharge its obligations under this Framework Agreement with all due skill, care and diligence, including in accordance with its own established internal procedures.

NEWRACE and XXXXXXXX hereby undertake and warrant to each other that they have provided and will provide relevant and necessary materials and relevant information under the Agreement without reservation and warrant the truthfulness, accuracy, and integrity of such information, which is free of major omissions and concealment.
