Common use of Name Change, Offices, Records and Books of Accounts Clause in Contracts

Name Change, Offices, Records and Books of Accounts. The Borrower will not change its name, identity or structure (within the meaning of Article 9 of any applicable enactment of the UCC) or relocate its chief executive office or any office where Records are kept unless it shall have: (i) given the Co-Agents at least 15 days’ prior notice thereof and (ii) prior to effectiveness of such change, delivered to the Administrative Agent all financing statements, instruments and other documents requested by the Administrative Agent in connection with such change or relocation.

The Borrower will not change its name, identity or corporate structure (within the meaning of Article 9 Section 9-402(7) of any applicable enactment of the UCC) or relocate its chief executive office or any office where Records are kept unless it shall have: (ia) given the Co-Agents Administrative Agent at least 15 days’ 30 days prior notice thereof (or such shorter notice as agreed by the Administrative Agent) and (iib) prior to effectiveness of such change, delivered to the Administrative Agent all financing statements, instruments and other documents reasonably requested by the Administrative Agent in connection with such change or relocation.

The Borrower will not change its name, identity or corporate structure (within the meaning of Article 9 Section 9-402(7) of any applicable enactment of the UCC) or relocate its chief executive office or any office where Records are kept by it unless it shall have: (i) given the Co-Agents Agent at least 15 days’ fifteen (15) Business Days' prior written notice thereof and (ii) prior to the effectiveness of such change, delivered to the Administrative Agent all financing statements, instruments and other documents requested by the Administrative Agent in connection with such change or relocation.

The Borrower will shall not change its name, identity or organizational structure or location (within the meaning of Article 9 of any applicable enactment Section 9-307 of the Relevant UCC or other section of similar content of the Relevant UCC) or nor relocate its chief executive office Chief Executive Office, its jurisdiction of formation or any office where Records are kept unless unless, within thirty (30) days following such change or relocation, it shall have: (i) given the Co-Agents at least 15 days’ prior Agent written notice thereof and (ii) prior to effectiveness of such change, delivered to the Administrative Agent all financing statements, instruments and other documents requested by the Administrative Agent in connection with such change or relocation.
