Name, Trademark. Practice represents and warrants that Practice --------------- conducts its professional practice under the name of, and only under the name of "The Eye Center," that such name is the name of Practice under state law, and that Practice is the licensee of such name under the Contribution and Exchange Agreement. Practice covenants and promises that, without the prior written consent of Business Manager, Practice will not:
(a) take any action or omit to take any action that would result in the change or loss of the name;
(b) license, sell, give or otherwise transfer the name, or the right to use the name, to any medical practice, physician, professional corporation or any other entity; or
(c) cease conducting the professional practice of Practice under the name.
Name, Trademark. The Practice represents and warrants that on and after sixty (60) days from the effective day of this Professional Business Management Agreement, the Practice shall conduct its professional practice under the name of, and only under the name of “Hour Eyes Optometrists, P. C.” and that such name is duly registered, qualified, or licensed under the laws of the Commonwealth, and that, to the Practice’s knowledge, the Practice is the sole and absolute owner of the name in the Commonwealth. The Practice covenants and promises that, without the prior written consent of the Professional Business Manager, the Practice will not:
(a) take any action that is reasonably likely to result in the loss of registration, qualification or licensure of the name;
(b) fail to take any reasonably necessary action that will maintain the registration, qualification, or licensure current;
(c) license, sell, give, or otherwise transfer the name or the right to use the name to any optometry practice, Optometrist, professional corporation, office or any other entity; or
(d) cease conducting the professional practice of the Practice under the name.
Name, Trademark. The Practice represents and warrants that on and after sixty (60) days from the effective date of this Retail Business Management Agreement, the Practice shall conduct its professional practice under the name of, and only under the names of Dr. Xxxxx'x XxxionWorld, Dr. Xxxxx'x Xxxion World, Doctor's ValuVision and the Eye Surgery Center and that such names are duly registered, qualified, or licensed under the laws of the Practice Areas in which they are being used, and that, to the Practice's knowledge, the Practice is the sole and absolute owner of the names in the Practice Areas. The Practice covenants and promises that, without the prior written consent of the Retail Business Manager, the Practice will not:
(a) take any action that is reasonably likely to result in the loss of registration, qualification or licensure of the name;
(b) fail to take any reasonably necessary action that will maintain the registration, qualification, or licensure current;
(c) license, sell, give, or otherwise transfer the name or the right to use the name to any optometry practice, Optometrist, professional corporation, optical dispensary or any other entity; or
(d) cease conducting the professional practice of the Practice under the name.
Name, Trademark. The Subrecipient will use Internews’ name or marks only for activities authorized by Internews, in writing, and Internews will use the Subrecipient’s name or marks only for activities authorized by the Subrecipient in writing. All other uses will be deemed infringement of the respective trademarks.

Practice represents and warrants that Practice --------------- conducts its professional practice under the name of, and only under the names of "Dominion Eye Associates" that such name is the name of Practice under state law. Practice covenants and promises that, without the prior written consent of Business Manager, Practice will not:
(a) take any action or omit to take any action that would result in the change or loss of the name;
(b) license, sell, give or otherwise transfer the name, or the right to use the name, to any medical practice, physician, professional corporation or any other entity; or
(c) cease conducting the professional practice of Practice under the name.
Name, Trademark. PC represents and warrants that, as of the date hereof, PC conducts its professional practice under the name of, and only under the name of "Mid-South Dental Centers, P.C." and that such name has been licensed to PC by Business Manager. PC covenants and promises that, without the prior written consent of the Business Manager, PC will not:
(a) take any action or omit to take any action that is reasonably likely to result in the change or loss of the name;
(b) license, sell, give, or otherwise transfer the name or the right to use the name to any dental practice, dentist, professional corporation, or any other entity; or
(c) cease conducting the professional practice of PC under the name.
Name, Trademark. PC represents and warrants that, as of the date hereof, PC conducts its professional practice under the name of, and only under the name of "Jack H. Castle, D.D.S., P.C." and that such name is the name of PC unxxx Xxxxx xxx, and that to its knowledge PC is the sole and absolute owner of the name. PC covenants and promises that, without the prior written consent of the Business Manager, PC will not:
(a) take any action or omit to take any action that is reasonably likely to result in the change or loss of the name;
(b) license, sell, give, or otherwise transfer the name or the right to use the name to any dental practice, dentist, professional corporation, or any other entity; or
(c) cease conducting the professional practice of PC under the name.
Name, Trademark. The Practice covenants and agrees that during the --------------- term of this Agreement, the Practice shall conduct its professional practice at the Practice Locations under the name of, and only under the name of "Xxxxxxx X. Xxxxxx, O.D. & Associates, P.C." (unless otherwise consented to by Professional Business Manager) and that such name is, or will be, duly and timely registered, qualified, or licensed under the laws of the jurisdiction in which they are being used. The Practice covenants and promises that the Practice will not:
(a) take any action that is reasonably likely to result in the loss of registration, qualification or licensure of the name;
(b) fail to take any reasonably necessary action that will maintain the registration, qualification, or licensure current;
(c) license, sell, give, or otherwise transfer the name or the right to use the name to any optometry practice, Optometrist, professional corporation, professional limited liability company, office or any other entity; or
(d) cease conducting the professional practice of the Practice under the name.
Name, Trademark. The Practice conducts its professional practice under the name of “Hour Eyes Doctors of Optometry, P. C.” and that name is duly registered, qualified, or licensed under the laws of the Commonwealth. The Practice covenants and promises that the Practice will not take any action that is reasonably likely to result in the loss of registration, qualification or licensure of the name or fail to take any reasonably necessary action that will maintain the registration, qualification, or licensure current.
Name, Trademark. PA represents and warrants that, as of the date hereof, PA conducts its professional practice under the name of, and only under the name of "Castle 1st Dental Care, P.
A. and that such name has been licensed to PA by Business Manager. PA covenants and promises that, without the prior written consent of the Business Manager, PA will not:
(a) take any action or omit to take any action that is reasonably likely to result in the change or loss of the name;
(b) license, sell, give, or otherwise transfer the name or the right to use the name to any dental practice, dentist, professional corporation, or any other entity; or
(c) cease conducting the professional practice of PA under the name.
