Common use of Nature of Irrevocable Proxy Clause in Contracts

Nature of Irrevocable Proxy. The proxy granted pursuant to Section 2.2 by each Shareholder shall be irrevocable during the Voting Period, shall be deemed to be coupled with an interest sufficient in law to support an irrevocable proxy and shall revoke any and all prior proxies granted by such Shareholder with regard to such Shareholder’s Subject Shares in respect of the Proxy Matters, and such Shareholder acknowledges that the proxy constitutes an inducement for Montage to enter into the Merger Agreement. The proxy granted by each Shareholder is a durable proxy and shall survive the bankruptcy, dissolution, death or incapacity of such Shareholder. The proxy granted hereunder shall terminate only upon the expiration of the Voting Period.

Nature of Irrevocable Proxy. The proxy and power of attorney granted pursuant to Section 2.2 by each Shareholder Stockholder shall be irrevocable during the Voting Period, shall be deemed to be coupled with an interest sufficient in law to support an irrevocable proxy and shall revoke any and all prior proxies granted by such Shareholder Stockholder with regard to such ShareholderStockholder’s Subject Owned Shares in respect of the Proxy Matters, and such Shareholder Stockholder acknowledges that the proxy constitutes an inducement for Montage Rook, Xxxxxx and Merger Sub to enter into the Merger Agreement. The proxy power of attorney granted by each Shareholder Stockholder is a durable proxy power of attorney and shall survive the bankruptcy, dissolution, death or incapacity of such ShareholderStockholder. The proxy and power of attorney granted hereunder shall terminate only upon the expiration of the Voting Period.

The proxy granted hereunder shall terminate only upon the earlier of (i) expiration of the Voting PeriodPeriod or (ii) the termination of this Agreement.
