Negation of Implied Waiver. No act or thing done by Landlord or its agents during the term hereof shall be deemed an acceptance of a surrender of the Demised Premises and no agreement to accept the surrender of the Demised Premises shall be valid unless the same be made in writing and subscribed by Landlord. The mention in this Lease of any particular remedy shall not preclude Landlord from any other remedy Landlord might have, either in law, in equity, or elsewhere provided in this Lease, nor shall the waiver of or redress for any violation of any agreement, covenant or condition in this Lease contained or any of the Rules and Regulations or hereafter adopted or modified by Landlord prevent a subsequent act, which would have originally constituted a violation, from having all the force and effect of any original violation. The receipt by Landlord of Rent or of any component thereof with knowledge of the breach of any agreement or covenant in this Lease shall not be deemed a waiver of such breach. The failure of Landlord to enforce any of the Rules and Regulations against Tenant and/or any other tenant in the Building, the Project or the Development shall not be deemed a waiver of such Rules and Regulations or any part thereof. The receipt by the Landlord of Rent or any component thereof from any assignee, subtenant or occupant of said Demised Premises or any part thereof shall not be deemed a waiver of the covenants in this Lease relating to assignment and subletting or an acceptance of the assignee, subtenant or occupant as Tenant, or a release of Tenant from the further observance or performance by Tenant of the covenants in this Lease. No provisions of this Lease shall be deemed to have been waived by Landlord unless such waiver shall be in writing signed by Landlord. No employee of Landlord or its agents shall have any power to accept the surrender of the keys to the Demised Premises prior to the termination of this Lease and the delivery of keys to any employee or agent of Landlord shall not operate as a termination of this Lease or a surrender of the Demised Premises. Without in any way limiting the generality of the foregoing paragraph, the holders of Senior Debt of the Company may, at any time and from time to time, without the consent of or notice to the Trustee or the Holders of the Securities, without incurring responsibility to the Holders of the Securities and without impairing or releasing the subordination provided in this Article or the obligations hereunder of the Holders of the Securities to the holders of Senior Debt of the Company, do any one or more of the following: (i) change the manner, place or terms of payment or extend the time of payment of, or renew or alter, Senior Debt of the Company, or otherwise amend or supplement in any manner Senior Debt of the Company or any instrument evidencing the same or any agreement under which Senior Debt of the Company is outstanding; (ii) sell, exchange, release or otherwise deal with any property pledged, mortgaged or otherwise securing Senior Debt of the Company; (iii) release any Person liable in any manner for the collection of Senior Debt of the Company; and (iv) exercise or refrain from exercising any rights against the Company and any other Person.
