Neither Trustee nor Trust Administrator Liable for Certificates or Mortgage Loans. The recitals contained herein and in the Certificates (other than the signature of the Trustee or the Trust Administrator, on behalf of the Trustee, the authentication of the Trustee or the Trust Administrator on the Certificates, the acknowledgments of the Trustee and the Trust Administrator contained in Article II and the representations and warranties of the Trustee and the Trust Administrator in Section 8.12) shall be taken as the statements of the Depositor and neither the Trustee nor the Trust Administrator assumes any responsibility for their correctness. Neither the Trustee nor the Trust Administrator makes any representations or warranties as to the validity or sufficiency of this Agreement (other than as specifically set forth in Section 8.12) or of the Certificates (other than the signature of the Trustee, or the Trust Administrator on behalf of the Trustee, and authentication of the Trustee or the Trust Administrator on the Certificates) or of any Mortgage Loan or related document. Neither the Trustee nor the Trust Administrator shall be accountable for the use or application by the Depositor of any of the Certificates or of the proceeds of such Certificates, or for the use or application of any funds paid to the Depositor or either Servicer in respect of the Mortgage Loans or deposited in or withdrawn from the Collection Account by either Servicer, other than any funds held by or on behalf of the Trustee or the Trust Administrator in accordance with Section 3.10.

Neither the Trustee nor the Trust Administrator shall be accountable for the use or application by the Depositor Depositor, the Master Servicer of any of the Certificates or of the proceeds of such Certificates, or for the use or application of any funds paid to the Depositor or either the Master Servicer in respect of the Mortgage Loans or for the use or application of any funds deposited in into or withdrawn from the Collection Account by either the Master Servicer, other than any funds held by or on behalf of the Trustee or the Trust Administrator in accordance with Section 3.10.

Neither the Trustee nor the Trust Administrator makes any representations or warranties as to the validity or sufficiency of this Agreement (other than as specifically set forth in Section 8.128.13) or of the Certificates (other than the signature execution and authentication of the TrusteeTrust Administrator, or the Trust Administrator on behalf of the Trustee, and authentication of the Trustee or the Trust Administrator on the Certificates) or of any Mortgage Loan or related document. Neither the Trustee nor the Trust Administrator shall be accountable for the use or application by the Depositor of any of the Certificates or of the proceeds of such the Certificates, or for the use or application of any funds paid to the Depositor or either the Master Servicer in respect of the Mortgage Loans or deposited in or withdrawn from the Collection Account by either the Master Servicer, other than any funds held by or on behalf of the Trustee or the Trust Administrator in accordance with Section 3.10.

Neither the Trustee nor the Trust Administrator shall be accountable for the use or application by the Depositor Depositor, the Servicer of any of the Certificates or of the proceeds of such Certificates, or for the use or application of any funds paid to the Depositor or either the Servicer in respect of the Mortgage Loans or for the use or application of any funds deposited in into or withdrawn from the Collection Account by either the Servicer, other than any funds held by or on behalf of the Trustee or the Trust Administrator in accordance with Section 3.10.

Neither the Trustee nor the Trust Administrator makes any representations or warranties as to the validity or sufficiency of this Agreement (other than as specifically set forth with respect to such party in Section 8.128.13) or of the Certificates (other than the signature of the Trustee, or the Trust Administrator on behalf of the TrusteeAdministrator, and authentication of the Trustee or the Trust Administrator on the Certificates) or of any Mortgage Loan or related documentdocument or of MERS or the MERS(R) System. Neither the Trustee nor the Trust Administrator shall be accountable for the use or application by the Depositor of any of the Certificates or of the proceeds of such Certificates, or for the use or application of any funds paid to the Depositor or either the Servicer in respect of the Mortgage Loans or deposited in or withdrawn from the Collection Account by either the Servicer, other than than, in the case of the Trust Administrator, any funds held by or on behalf of the Trustee or the Trust Administrator in accordance with Section 3.10, subject to Section 8.01.

Neither the Trustee nor the Trust Administrator makes any representations or warranties as to the validity or sufficiency of this Agreement (other than as specifically set forth in Section 8.12) or of the Certificates (other than the signature of the Trustee, or the Trust Administrator on behalf of the Trustee, and authentication of the Trustee or the Trust Administrator on the Certificates) or of any Mortgage Loan or related document. Neither the Trustee nor the Trust Administrator shall be accountable for the use or application by the Depositor of any of the Certificates or of the proceeds of such Certificates, or for the use or application of any funds paid to the Depositor or either the Master Servicer in respect of the Mortgage Loans or deposited in or withdrawn from the Collection Account by either the Master Servicer, other than any funds held by or on behalf of the Trustee or the Trust Administrator in accordance with Section 3.10.
