Common use of New Partners Clause in Contracts

New Partners. An assignee of a Partner's interest in the Partnership pursuant to a transfer permitted under the provisions of this Article 6 may become a substituted Partner with all the rights and liabilities of its assignor as a Partner under this Agreement if and only if (i) the General Partner or each Limited Partner (in the case of a General Partner's transferee) shall have consented in writing to such assignee becoming a substituted Partner, (ii) the assignee expressly assumes and agrees to be bound by this Agreement in the place and stead of such assignor, and (iii) the appropriate instruments, documents, or statements, if any, are prepared executed, acknowledged, filed, recorded, published and delivered.
