NHPA Indemnification Obligations. NHPA shall defend, indemnify, and hold harmless Customer and its employees, officers, directors, agents, affiliates, successors, and permitted assigns (collectively, “Customer Indemnified Party”), against any and all Losses, arising out of or resulting from any third-party claim alleging: (a) Material breach by NHPA of any material obligations set forth in this Agreement; or (b) gross negligence or more culpable act or omission of NHPA Indemnifying Party (including any recklessness or willful misconduct) in connection with the performance of its obligations under this Agreement.
