No Acceleration of Payment. Neither the Company nor the Executive, individually or in combination, may accelerate any payment or benefit that is subject to Code Section 409A, except in compliance with Code Section 409A and the provisions of this Agreement, and no amount that is subject to Code Section 409A shall be paid prior to the earliest date on which it may be paid without violating Code Section 409A.
No Acceleration of Payment. In order to comply fully with and meet all the applicable requirements of Section 162(m) of the Internal Revenue Code of 1986, as amended, and the regulations thereunder with respect to Awards, the payment provisions in this Notice and the Agreement shall supersede and replace all inconsistent provisions in any pre-existing agreements between you and the Company that may be interpreted as providing for the acceleration of payment of the Award and all such provisions are specifically waived with respect to the Award, including all such provisions in any pre-existing employment agreement between you and the Company.
No Acceleration of Payment. The payment of any amount due under this Agreement may not be accelerated into a calendar year prior to the calendar year in which such amount is then scheduled to be paid, unless (i) Interpublic and Executive agree, after consultation with counsel, that such acceleration will not subject Executive to adverse federal income tax consequences under Section 409A of the Code (including any administrative guidance thereunder) or otherwise subject either Executive or Interpublic to adverse tax consequences, and (ii) such acceleration is approved by Interpublic.
