Common use of No Action to Prevent Completion Clause in Contracts

No Action to Prevent Completion. There shall not have been instituted and be continuing or threatened any claim, action or proceeding that would materially adversely affect the Identified Assets, nor shall there have been instituted and be continuing or threatened any claim, action or proceeding by or before any court or other governmental body to restrain, prohibit or invalidate, or to obtain damages in respect of, the transactions contemplated by this Agreement or which might materially and adversely affect the rights of CCSI.
