No Adverse Conditions. The Seller has no knowledge of any circumstances or condition with respect to the Mortgage, the Mortgage Property (or with respect to a Cooperative Loan, the Cooperative Pledge Agreement, the Cooperative Unit or the Cooperative Project), the Mortgagor or the Mortgagor’s credit standing that can reasonably be expected to cause the Mortgage Loan to be an unacceptable investment, cause the Mortgage Loan to become delinquent, or adversely affect the value of the Mortgage Loan;
No Adverse Conditions. To the best of Homestead's and each Borrower's knowledge, there are no existing, pending or threatened events which could materially adversely affect any of the Properties or the operation thereof.
No Adverse Conditions. Neither the business nor the --------------------- properties of any Loan Party are affected by any fire, explosion, accident, strike, lockout, slowdown, stoppage, unfair labor practice or other labor dispute, drought, storm, hail, earthquake, embargo, act of God or of the public enemy or other casualty (whether or not covered by insurance) that could have a Material Adverse Effect and there has been no Material Adverse Change affecting the value of the Collateral or the ability of the Borrower or any other Loan Party to perform its obligations under the Loan Documents.
No Adverse Conditions. As of the related Funding Date, the Mortgagor is not in bankruptcy and is not insolvent and the Seller has no knowledge of any circumstances or condition with respect to the Mortgage, the Mortgaged Property, the Mortgagor or the Mortgagor's credit standing that could reasonably be expected to cause investors to regard the Mortgage Loan as an unacceptable investment, cause the Mortgage Loan to become delinquent or materially adversely affect the value or marketability of the Mortgage Loan. Either the Mortgagor is a natural person who is legally permitted to reside in the United States or the Mortgagor is an inter-vivos trust acceptable to Fxxxxx Mae. No borrower had a prior bankruptcy in the last four years. No borrower previously owned a property in the last seven years that was the subject of a foreclosure during the time the borrower was the owner of record;
No Adverse Conditions. Except as previously disclosed in writing to UCI of SC, there are no adverse conditions or circumstances that may interfere with the use and enjoyment of, or opportunity to resell or encumber, any of the Assets, or might otherwise impede UCI of SC's ability to operate a business similar to the Business utilizing the Assets.
No Adverse Conditions. There are no adverse conditions or circumstances, no pending or, to the best of Buyer’s knowledge, threatened litigation, no governmental action, nor any other condition which could materially affect the ability of Buyer to carry out its obligations hereunder and the Existing Management Agreement.
No Adverse Conditions. There shall be no material adverse change in the condition of, or affecting, the Property or Seller not caused by Buyer between the Effective Date and Closing.

To the best of the Principals' knowledge, other than general business and market conditions, no condition or conditions exist or will exist on the Meeting Date which may materially impair the operations of the Company or may materially impair the future revenue or profitability of the Company.
