No Adverse Information. The investigations with respect to the parties, the assets and their respective businesses performed by each party's respective professional advisors and other representatives shall not have revealed any information concerning the other panes, their assets or their business that has not been made known to the discovering party, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the business or assets of the other party or the viability of the transaction contemplated by this Agreement.
No Adverse Information. The investigations with respect to Sierra Norte, the assets and the respective businesses performed by PocketSpec's respective professional advisors and other representatives shall not have revealed any information concerning Sierra Norte, its assets, liabilities or its business that has not been made known to PocketSpec, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the business or assets of the other party or the viability of the transaction contemplated by this Agreement.
No Adverse Information. The investigations with respect to the Business and the Assets performed by Buyer's professional advisors and other representatives shall not have revealed any information concerning the Business or the Assets that has not been made known to the Buyer, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the Business or the Assets or the viability of the transaction contemplated by this Agreement.
No Adverse Information. The investigations with respect to Ikona, the assets and the respective businesses of Ikona, performed by Oban's respective professional advisors and other representatives shall not have revealed any information concerning Ikona, its assets, liabilities or its business that has not been made known to Oban, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the business or assets of the other party or the viability of the transaction contemplated by this Agreement.
No Adverse Information. The investigations with respect to Vairex, the assets and the respective businesses performed by Guardian's respective professional advisors and other representatives shall not have revealed any information concerning Vairex, its assets, liabilities or its business that has not been made known to Guardian, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the business or assets of the other party or the viability of the transaction contemplated by this Agreement.
No Adverse Information. The investigations with respect to RJL, the assets and the respective businesses of RJL, performed by Guardian's respective professional advisors and other representatives shall not have revealed any information concerning RJL, its assets, liabilities or its business that has not been made known to Guardian, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the business or assets of the other party or the viability of the transaction contemplated by this Agreement.
No Adverse Information. As of the date of this Agreement, except as disclosed in the regulatory submissions previously made available to Baxter related to the use of NEUPREX for the Meningococcemia indication, XOMA Ireland represents and warrants that it knows of no adverse effects or other properties that could reasonably be expected to raise objections from the FDA or other regulatory agencies or may affect the use, effectiveness or merchantability of the Product.
No Adverse Information. The sale of Securities by the Selling Shareholder to or through the several Underwriters pursuant to this Agreement is not prompted by any adverse information concerning the Company that is not set forth in the Registration Statement, the Statutory Prospectus and the Prospectus (if in existence).
No Adverse Information. The investigations with respect to the parties, the assets and the respective businesses performed by each party's respective professional advisors and other representatives shall not have revealed any information concerning the other parties, their assets or their business and with respect to the backgrounds of the proposed directors and officers of Southshore nominated by RV that has not been made known to the discovering party, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the business or assets of the other party or the viability of the transaction contemplated by this Agreement.
No Adverse Information. The investigations with respect to BlueStream, the assets and the respective businesses performed by XML's respective professional advisors and other representatives shall not have revealed any information concerning BlueStream, its assets, liabilities or its business that has not been made known to XML, in writing prior to the date of this Agreement and that, in the opinion of such party and its advisors, materially and adversely affects the business or assets of the other party or the viability of the transaction contemplated by this Agreement.
