Common use of No Adverse Interests Clause in Contracts

No Adverse Interests. Subject only to the Security and as otherwise contemplated under the Intercreditor Agreement, the Breakaway Two Credit Facility and the Credit Agreements, no person other than the Company has any legal or beneficial interest (or any right to claim any such interest) in the Assigned Rights or any part thereof and the Company has not received notice of any such claim.
