Common use of No Agency or Trust Clause in Contracts

No Agency or Trust. In acting under this Agreement the Agents shall have no obligation towards or relationship of agency or trust with any Holder and need only perform the duties set out specifically in this Agreement and the Conditions and no other duties shall be implied. The Agent shall be entitled not to take any actions under this Agreement, without liability, if conflicting, unclear or equivocal instructions are received from the Issuer, provided that the Agent shall continue to use its reasonable endeavours to contact the Issuer to seek non-conflicting, clear and unequivocal instructions.

No Agency or Trust. In acting under this Agreement the Agents shall have no fiduciary obligation towards or relationship of agency or trust with any Holder Bondholder or Couponholder and need only perform the duties set out specifically in this Agreement and the Conditions and no other any duties necessarily incidental to them. No implied duties or obligations shall be implied. The Agent shall read into this Agreement or in the Conditions against the Agent, though this is without prejudice to any duties which are incidental to those to be entitled not to take any actions performed by the Agents under this Agreement, without liability, if conflicting, unclear or equivocal instructions are received from the Issuer, provided that the Agent shall continue to use its reasonable endeavours to contact the Issuer to seek non-conflicting, clear and unequivocal instructions.

None of the Agents shall be implied. The Agent shall be entitled not under any obligation to take any actions under this Agreement, without action hereunder which may involve it incurring any expense or liability, if conflicting, unclear the payment or equivocal instructions are received from the Issuer, provided that the Agent shall continue indemnification of which within a reasonable time is not assured to use its reasonable endeavours to contact the Issuer to seek non-conflicting, clear and unequivocal instructionsit.
