No Approvals, etc. No authorization, consent, approval, license or formal exemption from, nor any filing, declaration or registration with, any Tribunal, including the SEC or any securities exchange, is required in connection with the execution, delivery or performance by any Borrower or any Subsidiary Guarantor of any Loan Document, except to the extent that such Loan Document may be required to be filed as an exhibit to any periodic report filed by EDS pursuant to Section 13 of the Securities Exchange Act of 1934, as amended.
