Lennar is a corporation validly existing and in good standing under the laws of Delaware and has the requisite power and authority to execute, deliver, and perform the Maintenance Agreement and the other Guarantor Loan Documents to which Lennar is a party. The execution, delivery, and performance by Lennar of the Maintenance Agreement and the other Guarantor Loan Documents to which Lennar is a party have been duly authorized by all requisite action by or on behalf of Lennar and will not conflict with, or result in a violation of or a default under, the certificate of incorporation, bylaws and other formation documents of Lennar.

No approval, authorization, bond, consent, certificate, franchise, license, permit, registration, qualification, or other action or grant by or filing with any Person not previously obtained is required in connection with the execution, delivery, or performance by Lennar of the Maintenance Agreement and the other Guarantor Loan Documents to which Lennar is a party.

Except as disclosed on Exhibit D, (i) no legal proceeding is pending or, to best knowledge of Borrower, threatened before any arbitrator, other private adjudicator, or Governmental Authority to which Lennar is a party or by which Lennar or any assets or property of Lennar may be bound or affected that if resolved adversely to Lennar could result in a Material Adverse Change and (ii) no hearing, inquiry, or investigation relating to Lennar or any assets or property of Lennar is pending or, to the best knowledge of Borrower, threatened by any Governmental Authority that if resolved adversely to Lennar could result in a Material Adverse Change.
