Common use of No Assignment by Company Clause in Contracts

No Assignment by Company. The Company shall not sell participations in the Loans or assign or delegate this Agreement or, except as is required by Section 5.03, any rights or obligations hereunder to any other Person, without the prior written consent of Participant, which consent may be withheld or conditioned in Participant’s sole and absolute discretion. Any purported sale, sub-participation or assignment or delegation in violation of the preceding sentence shall be void ab initio and of no force or effect whatsoever. Subject to the foregoing, this Agreement shall be binding on and shall inure to the benefit of the Company and its respective successors and permitted assigns. The Company hereby acknowledges and agrees that this Agreement constitutes a personal services agreement between the Company and Participant.
