The consummation by ONTARIO of the transactions contemplated by this Agreement will not result in the breach of any term or provision of, or constitute a default under any applicable law or regulation, its articles of organization or operating agreement, or under any other agreement or instrument to which ONTARIO is a party, by which it is bound, or which affects the Assets.
