Common use of No Brokers Clause in Contracts

No Brokers. Neither Seller nor any of its Affiliates, officers, employees or agents has employed, retained or engaged any broker or finder or incurred any Liability for any brokerage, finder’s or similar fees or commissions with respect to this Agreement or the transactions contemplated by this Agreement.

No Brokers. Neither Seller nor any related party has entered into any contract, arrangement or understanding with any person or firm which may result in the obligation of its Affiliates, officers, employees or agents has employed, retained or engaged Buyer to pay any broker or finder or incurred any Liability for any brokerage, finder’s fees, brokerage or similar fees agent’s commissions or commissions other like payments in connection with respect the negotiations leading to this Agreement or the consummation of the transactions contemplated by this Agreementhereby.

Neither Seller nor any of its Affiliates, the Seller’s respective officers, directors or employees has employed or agents has employedmade any agreement with any broker, retained or engaged any broker or finder or incurred similar agent or any Liability for Person or firm that will result in the obligation of Purchaser or any brokerage, of its affiliates to pay any finder’s or similar fee, brokerage fees or commissions or similar payment in connection with respect to this Agreement or the transactions contemplated by this Agreement.

Neither Seller Buyer nor any of its Affiliates, officers, employees officers or agents directors has employed, retained or engaged employed any broker or finder or incurred any Liability liability for any brokeragebroker’s fees, commissions or finder’s or similar fees or commissions in connection with respect to this Agreement or the transactions contemplated by this Agreement.

Neither Seller nor any the Acquired Company or anyone acting on their behalf has, directly or indirectly, engaged the services of its Affiliates, officers, employees or agents has employed, retained or engaged any a broker or finder or incurred other party who may be entitled to any Liability for any brokerage, finder’s brokerage fee or similar fees or commissions commission in connection with respect to this Agreement or the transactions contemplated by this Agreementtransaction referenced herein.

Neither No brokers, finders or investment bankers have acted for Seller nor any of or its Affiliates, officers, employees or agents has employed, retained or engaged any broker or finder or incurred any Liability for any brokerage, finder’s or similar fees or commissions Affiliates in connection with respect to this Agreement or the transactions contemplated by this Agreementhereby or are entitled to any brokerage fee, finder’s fee or commission in respect thereof.

Neither Seller nor any of its Affiliates, officers, employees or agents has employed, Company retained or engaged any broker or finder finder, or incurred agreed to pay or made any Liability for statement or representation to any brokeragePerson that would entitle such Person to, any broker’s, finder’s or similar fees or commissions in connection with respect to this Agreement or the transactions contemplated by this Agreement.

No Brokers. Neither Seller Purchaser nor any of its AffiliatesSubsidiaries has employed any broker, officers, employees finder or agents has employed, retained or engaged any broker or finder agent or incurred any Liability for to any brokeragebroker, finder’s , or similar fees or commissions agent in connection with respect to this Agreement or the transactions contemplated by this Agreement or the Statutory Merger Agreement, other than ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ & Co. LLC.

No Brokers. Neither Seller Buyer nor any of its Affiliates, officers, employees or agents Affiliates has employed, retained or engaged any broker or finder employed or incurred any Liability liability to any broker, finder or agent for any brokeragebrokerage fees, finder’s fees, commissions or similar fees or commissions other amounts with respect to this Agreement Agreement, the Ancillary Documents or the transactions contemplated Contemplated Transactions, other than those fees, commissions or other amounts that will be charged to and paid by this AgreementBuyer.

No Brokers. Neither Seller nor any of its Affiliates, officers, employees or agents the Stockholder has employed, retained or engaged otherwise engaged, any broker or finder or incurred any Liability liability for any brokeragebrokerage or investment banking fees, finder’s commissions, finders' fees or other similar fees or commissions in connection with respect to this Agreement or the transactions contemplated by this Agreement.

Neither Seller nor any of its Affiliates, respective officers, employees directors, employees, shareholders or agents Affiliates has employedemployed or made any agreement with any broker, retained or engaged any broker or finder or incurred similar agent or any Liability for other Person which will result in any brokerage, obligation of Purchaser or any of its Affiliates to pay any finder’s fee, brokerage fee or commission or similar fees or commissions payment in connection with respect to this Agreement or the transactions contemplated by this Agreementhereby.

Neither Seller Buyer nor any of its Affiliatesdirectors, officers, employees employees, shareholders or agents has employedretained, retained employed or engaged used any broker or finder or incurred any Liability for any brokerage, finder’s or similar fees or commissions in connection with respect to this Agreement or the transactions contemplated by this Agreementprovided for herein or in connection with the negotiation thereof.

Neither Seller nor None of Buyer or any of its AffiliatesSubsidiaries has employed or retained any broker, officersfinder or agent to act on their behalf in connection with this Agreement or the Contemplated Transactions, employees or agents has employed, retained or engaged any broker or finder or incurred any Liability liability to any broker, finder or agent for any brokeragebrokerage fees, finder’s fees, commissions or similar fees or commissions other amounts with respect to this Agreement or the transactions contemplated by this AgreementContemplated Transactions.

Neither Seller nor any of its Affiliates, Seller’s respective officers, employees directors or agents employees, to the extent applicable, has employedemployed or made any agreement with any broker, retained or engaged any broker or finder or incurred similar agent or any Liability for person or firm which will result in the obligation of Purchaser or any brokerage, of its affiliates to pay any finder’s or similar fee, brokerage fees or commissions or similar payment in connection with respect to this Agreement or the transactions contemplated by this the Agreement.
