No Change Resulting in Material Adverse Effect. From the date hereof through the Closing Date, there shall not have occurred, on a consolidated basis, any change that individually or in the aggregate has a Material Adverse Effect with respect to Mid Penn or Mid Penn Bank.

Parent will furnish the Company with such certificates of its officers or others and such other documents to evidence fulfillment of the conditions set forth in this Section 9.3 as the Company may reasonably request.
No Change Resulting in Material Adverse Effect. Since February 28, 1997, there shall have been no change in the business or operations of the Company, nor any other event, which has had, or is likely to have, in any Institutional Investor's reasonable judgment, a Material Adverse Effect. Any condition specified in this Section 3 (or in Section 4 below) may be waived with respect to any Purchaser upon express written consent executed by such Purchaser.
