The Present Debt is due and payable to Bank, and Borrowers have no claim, offset, counterclaim or defense with respect to: (a) the payment of the Present Debt; (b) the payment of any other sums due under the Loan Documents; (c) the performance of Borrowers' obligations under the Loan Documents; or (d) any liability under any of the Loan Documents.
