Neither the whole nor any portion of the Assets is subject to any government decree or order to be sold or is being condemned, expropriated or otherwise taken by any domestic or foreign public authority with or without payment of compensation thereof, nor, to Seller's knowledge, has any such condemnation, expropriation or taking been proposed in writing within the past two years.
