Sales Commitments Sample Clauses

Sales Commitments. The Company has no sales contracts or commitments to customers which aggregate in excess of $10,000.00 to any one customer (or group of affiliated customers). The Company has no sales contracts or commitments except those made in the ordinary course of business, at arm's length, and no such contracts or commitments are for a sales price which would result in a loss to the Company.

Sales Commitments. Except as set forth on Schedule 2.10(d), the Company does not have any sales contracts or commitments to customers with respect to the Company's business which aggregate in excess of $10,000 to any one customer (or group of affiliated customers). The Company does not have any sales contracts or commitments with respect to the Company's business except those made in the ordinary course of business, at arm's length.

Sales Commitments. The Sellers have no sales contracts or commitments to customers or distributors in connection with or affecting the Business or the Purchased Assets. The Sellers have no sales contracts or commitments in connection with or affecting the Business or the Purchased Assets except those made in the Ordinary Course of Business, at arm’s length, and no such contracts or commitments are for a sales price which would result in a loss to the Company.

Sales Commitments. Except as set forth in Section 2.13(c) of the Disclosure Schedule, the Company has no sales contracts or commitments to customers except those made in the ordinary course of business, at arm’s length, and no such contracts or commitments are for a sales price which would result in a loss to the Company that is not reflected on Section 2.13(c) of the Disclosure Schedule.

Sales Commitments. Except as set forth on Schedule 5.11(d) of the Disclosure Schedule, Company has no sales contracts or commitments to customers or distributors in connection with or affecting the Business or the Purchased Assets which aggregate in excess of $100,000.00 to any one customer or distributor (or group of affiliated customers or distributors) except for purchase orders taken in the ordinary course of business. Company has no sales contracts or commitments in connection with or affecting the Business or the Purchased Assets except those made in the ordinary course of business, at arm’s length, and no such contracts or commitments are for a sales price which would result in a material loss to the Business.

Sales Commitments. Except as set forth on Schedule 4.14(d), ----------------- Company has no sales contracts or commitments to customers or distributors which aggregate in excess of $20,000 to any one customer or distributor (or group of affiliated customers or distributors). Company has no sales contracts or commitments except those made in the ordinary course of business, at arm's length, and no such contracts or commitments are for a sales price which would result in a loss to the Company.

Sales Commitments. Company has no sales contracts or commitments in connection with or affecting the Business or the Purchased Assets except those made in the ordinary course of business, at arm's length or which are expected to produce a loss, except as disclosed in Schedule 4.14.(d).

Sales Commitments. Except as set forth in Schedule 4.14(d), Sellers have no sales contracts or commitments to customers except those made in the ordinary course of business, at arm’s length, and no such contracts or commitments are for a sales price which would result in a loss to Sellers that is not reflected on Schedule 4.4.

Sales Commitments. Company has no sales Contracts in respect of the Business that aggregate in excess of Ten Thousand Dollars ($10,000) (or its foreign currency equivalent as of the date hereof) to any one customer or group of affiliated customers. Company has no sales Contracts in respect of the Business except those made in the ordinary course of the Business at arm’s length, and no such Contracts are for a sales price that would result in a loss to the Business (after giving effect to full amortization of overhead and selling, general and administrative expenses).

Sales Commitments. Manufacturer may terminate this Agreement on thirty (30) days written notice in the event that Agent fails to meet sales commitment for any annual or Interim Term if not cured by the Agent in the time frame specified in Section 3.2.
