Neither the whole nor any portion of the property or leaseholds owned or held by ECNC or any of its Subsidiaries is subject to any governmental decree or order to be sold or is being condemned, expropriated or otherwise taken by any Governmental Body or other Person with or without payment of compensation therefore, which action is likely to have a material adverse effect on the business or financial condition of PCLICK and its Subsidiaries, taken as a whole.
