The Company is not in violation or default of any provision of its Certificate of Incorporation or Bylaws or in violation or default under any judgment, order, writ or decree or agreement to which it is a party or by which it is bound, or, to the best of its knowledge, of any provision of any federal or state statute, rule or regulation of any country applicable to the Company which violation or default, or violations and defaults in the aggregate, would have a Material Adverse Effect.
