(b) No-shop and no talk: During the Exclusivity Period, TINZ must not, and must ensure that each of its Representatives (including TIP Inc), does not, directly or indirectly: (i) No shop: solicit, invite, encourage or initiate (including by the provision of non-public information to any Third Party) any Competing Proposal, or any enquiries, proposal, negotiations or discussions with any Third Party in relation to, or that may reasonably be expected to encourage or lead to, any Competing Proposal; and (ii) No talk or due diligence access: subject to sub-clause (c): (A) enter into, continue or participate in negotiations or discussions with, or negotiate or enter into any agreement, arrangement or understanding with, any Third Party in relation to, or that may reasonably be expected to encourage or lead to, any Competing Proposal, or offer or agree to do any of those things; or (B) disclose or otherwise make available to any Third Party, or permit any Third Party to receive, any non-public information relating to any Group Company in connection with, or which may reasonably be expected to encourage or lead to, such Third Party formulating, developing or finalising, or assisting in the formulation, development or finalisation of, any Competing Proposal.
