Common use of No Discussions Clause in Contracts

No Discussions. Except as permitted pursuant to Section 4.3(a) of this Agreement, none of the Acquired Corporations, and no Representative of any of the Acquired Corporations, is engaged, directly or indirectly, in any discussions or negotiations with any other Person relating to any Acquisition Proposal. Since January 1, 2003, none of the Acquired Corporations has terminated or waived any rights under any confidentiality, "standstill," nonsolicitation or similar agreement with any third party to which any of the Acquired Corporations is or was a party or under which any of the Acquired Corporations has or had any rights.
