Common use of No Employee Ownership Clause in Contracts

No Employee Ownership. No current or former officer, director, employee, consultant or independent contractor of the Seller has any right, title or interest in, to or under any Program Technology developed by such person in the course of providing services to the Seller that has not been either (A) irrevocably assigned or transferred to Seller or (B) licensed (with the right to grant sublicenses) to Seller under an exclusive, irrevocable, worldwide, royalty-free, fully-paid and assignable license.

No Employee Ownership. No current or former officer, director, employee, consultant or independent contractor of the Seller or any of its Subsidiaries has any right, title or interest in, to or under any Program Technology developed by such person in the course of providing services to the Seller that has not been either (A) irrevocably assigned or transferred to Seller or any of its Subsidiaries or (B) licensed (with the right to grant sublicenses) to Seller or any of its Subsidiaries under an exclusive, irrevocable, worldwide, royalty-free, fully-paid and assignable license.

No current or former officer, director, employee, consultant or independent contractor of the Seller has any right, title or interest in, to or under any Program Technology developed by such person in the course of providing services Information, Intellectual Property Rights, or Intellectual Property used, held for use, or related to the Seller Program or the Program Therapy that has not been either (A) irrevocably assigned or transferred to Seller or (B) licensed (with the right to grant sublicenses) to Seller under an exclusive, irrevocable, worldwide, royalty-free, fully-paid and assignable license.

No Employee Ownership. No current or former officer, manager, director, stockholder, member, employee, consultant or independent contractor of the Seller has any right, title or interest in, to or under any Program Technology developed by such person in of the course of providing services to the Seller Purchased Assets that has have not been either (A) irrevocably assigned or transferred to a Seller or (B) licensed (with to the right extent permitted pursuant to grant sublicenses) to Seller under an exclusive, irrevocable, worldwide, royalty-free, fully-paid and assignable licenseapplicable Laws.

No Employee Ownership. No current or former officer, manager, director, shareholder, member, employee, consultant or independent contractor of the Seller has any right, title or interest in, to or under any Program Technology developed by such person in the course of providing services Proprietary Rights related to the Seller Products of the Business of the Seller that has have not been either (Aa) irrevocably assigned or transferred to Seller or (Bb) licensed (with the right to grant sublicenses) to Seller under an exclusive, irrevocable, worldwide, royalty-royalty free, fully-fully paid and assignable license.

No Employee Ownership. No current or former officer, director, employeeor employee of Seller or any of its Affiliates or, to Seller’s Knowledge, any consultant of Seller or independent contractor any of the Seller its Affiliates, has any right, title or interest in, to or under any Program Technology Transferred Intellectual Property developed by such person in the course of providing services to the Seller or any of its Affiliates that has not been either (A) irrevocably assigned assigned, transferred or transferred licensed to Seller or (B) licensed (with the right to grant sublicenses) to Seller under an exclusive, irrevocable, worldwide, royalty-free, fully-paid and assignable licenseany of its Affiliates.
