No Employee Solicitation. The Executive hereby agrees that during the Term, he shall not, directly or indirectly, for his own account or jointly with another, or for or on behalf of any entity, as principal, agent or otherwise, solicit, induce or hire or in any manner attempt to solicit, induce or hire any person employed by the Corporation or any of its affiliates to leave such employment, whether or not such employment is pursuant to a written contract with the Corporation or otherwise; provided, however, that Executive shall not be in breach of this provision unless the person so solicited or induced is hired by Executive or any of
