No Entitlement to Benefits. In no event shall the Executive be entitled to any benefits under Paragraph 4.3 or 4.4 of this Agreement if his employment ceases by reason of Misconduct, death or Incapacity or if he voluntarily resigns (other than, in connection with a termination during the Change in Control Severance Period, for a reason which qualifies as Good Reason).
