No Exercise That Triggers Pill. This warrant may not be exercised to acquire securities to the extent that when added to those already beneficially owned by such holder for purposes of the Rights Agreement between the Company and Computershare Trust Company N.A., dated as of September 22, 2002 and as amended from time to time (as so amended, the “Rights Agreement”) such securities would cause such holder to become an Acquiring Person as that term is used in the Rights Agreement with respect to that holder.
