NO FEDERAL REGISTRATION. The HSI Stockholder understands that the Exchange Shares are not being registered under the Securities Act on the ground that the issuance thereof is exempt under Section 4(2) of the Securities Act and Regulation D promulgated thereunder as a transaction by an issuer not involving any public offering, and that reliance on such exemption is predicated in part on the truth and accuracy of the undersigned's representations and warranties, and those of the other purchasers of Exchange Shares.
