Common use of No Filings, Regulatory Approvals etc Clause in Contracts

No Filings, Regulatory Approvals etc. No filing with, or approval, authorization, consent, license, registration, qualification, if any as may be required, order or decree of, any court or governmental authority or agency, domestic or foreign, is necessary or required for the performance by each of the Principal Entities of its respective obligations under this Agreement and the other Principal Program Documents, except (A) as otherwise set forth in the applicable Time of Sale Prospectus, (B) as have been obtained or rendered, as the case may be, and (C) as may be necessary or required under state or foreign securities or blue sky laws or any rules or regulations of any securities exchange.
