No Finder’s or Similar Fees. Except as described in the Registration Statement, the Statutory Prospectus and the Prospectus, there are no claims, payments, arrangements, contracts, agreements or understandings relating to the payment of a brokerage commission or finder’s, consulting, origination or similar fee by the Company, the Sponsor and the Foundation or any officer, director or director nominee of the Company with respect to the sale of the Offered Units hereunder or any other arrangements, agreements or understandings of the Company, the Sponsor and the Foundation or, to the knowledge of the Company, any such officer, director or director nominee of the Company, or their respective affiliates, that may affect the Underwriters’ compensation, as determined by the Financial Industry Regulatory Authority, Inc. (“FINRA”).
