Common use of No Foreign Operations Clause in Contracts

No Foreign Operations. None of the Partnership Entities conducts business operations outside the United States. Any certificate signed by any officer of the Partnership Entities or any of the Subsidiaries and delivered to the Underwriters or counsel for the Underwriters in connection with the Offering shall be deemed to be a representation and warranty by the Partnership Entity or Subsidiary, as the case may be, as to matters covered thereby, to each Underwriter.
