No Government Proceeding or Litigation. No suit, action, -------------------------------------- investigation, inquiry, or other proceeding by any governmental body or other person or legal or administrative proceeding shall have been instituted or threatened which (a) questions the validity or legality of the transactions contemplated hereby, (b) in the sole and exclusive judgment of Buyer materially impairs the Issuer's ability to exercise control over or manage the business and affairs of the Issuer after the Closing, or (c) in the sole and exclusive judgment of Buyer might have a material adverse effect on the business or financial condition of the Issuer.
