CONDITIONS PRECEDENT TO OBLIGATIONS OF ISSUER. The obligation of Issuer to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction, on or before the relevant Closing Date (as applicable) hereunder, of each of the following conditions, all or any of which may be waived, in whole or in part, by Issuer.

CONDITIONS PRECEDENT TO OBLIGATIONS OF ISSUER. The Issuer’s obligation to complete the sale and issuance of the Notes and deliver the Notes to each Purchaser on the Closing Date is also subject to the fulfillment on or prior to the Closing Date of the following conditions, which conditions may be waived, in whole or in part, at the option of the Issuer to the extent permitted by Law:
