Common use of No Governmental Authority of Clause in Contracts

No Governmental Authority of. competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law or Order (whether temporary, preliminary or permanent), that is then in effect and that enjoins, restrains, makes illegal or otherwise prohibits the consummation of the transactions contemplated by this Agreement or the Ancillary Agreements.

No Governmental Authority of. competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Law statute, rule, regulation, judgment, decree, injunction or Order (whether temporary, preliminary or permanent), that other order which is then in effect and that enjoinsor commenced any action or proceeding, restrains, makes illegal or otherwise prohibits the which in either case would prohibit consummation of the transactions contemplated by this Agreement or would threaten the Ancillary Agreementsimposition of material damages upon consummation of such transactions.
