Common use of No Hiring or Solicitation of Employees Clause in Contracts

No Hiring or Solicitation of Employees. The Stockholder agrees that, during the Noncompetition Period, the Stockholder shall not, and shall not permit any of his Affiliates to: (a) hire any Specified Employee, or (b) directly or indirectly, personally or through others, encourage, induce, attempt to induce, solicit or attempt to solicit (on the Stockholder's own behalf or on behalf of any other Person) any Specified Employee or any other employee of Purchaser, the Company or any of the Purchaser's other subsidiaries to leave his or her employment with the Purchaser, the Company or any of the Purchaser's other subsidiaries. (For purposes of this Section 2, "Specified Employee" shall mean any individual who (i) is or was an employee of the Company on the date of this Noncompetition Agreement or during the 180-day period ending on the date of this Noncompetition Agreement, and (ii) remains or becomes an employee of the Purchaser, the Company or any of the Purchaser's other subsidiaries on the date of this Noncompetition Agreement or at any time during the Noncompetition Period.)

No Hiring or Solicitation of Employees. The Stockholder agrees that, during the Noncompetition Period, the Stockholder shall not, and shall not knowingly permit any of his Affiliates to: (a) hire any Specified Employee, or (b) directly or indirectly, personally or through others, encourage, induce, attempt to induce, solicit or attempt to solicit (on the Stockholder's own behalf or on behalf of any other Person) any Specified Employee or any other employee of Purchaser, the Company or any of the Purchaser's other subsidiaries to leave his or her employment with Parent, any of the Purchaser, the Company Acquired Companies or any of the PurchaserParent's other subsidiaries. (For purposes of this Section 2, "Specified Employee" shall mean any individual who (i) is or was an employee of any of the Company Acquired Companies on the date of this Noncompetition Agreement or during the 180-day period ending on the date of this Noncompetition Agreement, and (ii) remains or becomes an employee of Parent, any of the Purchaser, the Company Acquired Companies or any of the PurchaserParent's other subsidiaries on the date of this Noncompetition Agreement or at any time during the Noncompetition Period180-day period thereafter.)

The Stockholder Shareholder agrees that, during the Noncompetition Period, the Stockholder Shareholder shall not, and shall not permit any of his its Affiliates to: (a) hire any Specified EmployeeEmployee of Purchaser, or (b) directly or indirectly, personally or through others, encourage, induce, attempt to induce, solicit or attempt to solicit (on the StockholderShareholder's own behalf or on behalf of any other Person) any Specified Employee or any other employee of Purchaser, the Company or any of the Purchaser's other subsidiaries Employee to leave his or her employment with the Purchaser, the Company Purchaser or any of the Purchaser's other subsidiaries. (For purposes of this Section 27.3, "Specified Employee" shall mean any individual who (i) is or was an employee of any of the Company Seller on the date of this Noncompetition Agreement or during the 180-day period ending on the date of this Noncompetition Agreement, and (ii) remains or becomes an employee of the Purchaser, the Company Purchaser or any of the Purchaser's other subsidiaries on the date of this Noncompetition Agreement or at any time during the Noncompetition Period.)

The Stockholder Member agrees that, during the Noncompetition Period, the Stockholder Member shall not, and shall not permit any of his the Member's Affiliates to: (a) hire any Specified Employee, or (b) directly or indirectly, personally or through others, encourage, induce, attempt to induce, solicit or attempt to solicit (on the StockholderMember's own behalf or on behalf of any other Person) any Specified Employee or any other employee of Purchaser, the Company or any of the Purchaser's other subsidiaries to leave his or her employment with the Purchaser, any of the Company Acquired Companies or any of the Purchaser's other subsidiaries. (For purposes of this Section 2, "Specified Employee" shall mean any individual who (i) is or was an employee of any of the Company Acquired Companies on the date of this Noncompetition Agreement or during the 180-day period ending on preceding the date of this Noncompetition Agreement, and (ii) remains or becomes an employee of the Purchaser, any of the Company Acquired Companies or any of the Purchaser's other subsidiaries on the date of this Noncompetition Agreement or at any time during the Noncompetition Period.)

The Stockholder agrees thatStockholder, during the Noncompetition Nonsolicitation Period, the Stockholder shall not, and shall not permit any of his Affiliates to: (a) hire any Specified Employee, or (b) directly or indirectly, personally or through others, encourage, induce, attempt to induce, solicit or attempt to solicit (on the Stockholder's ’s own behalf or on behalf of any other Person) any Specified Employee or any other employee of Purchaser, the Company or any of the Purchaser's other subsidiaries to leave his or her employment with the Purchaser, any of the Company Acquired Companies or any of the Purchaser's ’s other subsidiaries. (For purposes of this Section 21, "“Specified Employee" ” shall mean any individual who (i) is or was an employee of any of the Company Acquired Companies on the date of this Noncompetition Nonsolicitation Agreement or during the 180360-day period ending on the date of this Noncompetition Nonsolicitation Agreement, and (ii) remains or becomes an employee of the Purchaser, any of the Company Acquired Companies or any of the Purchaser's ’s other subsidiaries on the date of this Noncompetition Nonsolicitation Agreement or at any time during the Noncompetition Nonsolicitation Period.)

(For purposes of this Section 2, "Specified Employee" shall mean any individual who (i) is or was an employee of any of the Company Acquired Corporations on the date of this Noncompetition Agreement or during the 180-day period ending on the date of this Noncompetition Agreement, and (ii) remains or becomes an employee of Parent, any of the PurchaserAcquired Corporations, the Company Merger Sub or any of the PurchaserParent's other subsidiaries on the date of this Noncompetition Agreement or at any time during the Noncompetition Period.)

(For purposes of this Section 2, "Specified Employee" shall mean any individual who (i) is or was an employee of the Company on the date of this Noncompetition Agreement or during the 180-day period ending on the date of this Noncompetition Agreement, and (ii) remains or becomes an employee of the Purchaser, the Company or any of the Purchaser's other subsidiaries on the date of this Noncompetition Agreement or at any time during the Noncompetition Period.)
