Common use of No Hiring Clause in Contracts

No Hiring. Client agrees that the personnel of Winmill as well as the personnel of any Service Provider are critical to Winmill and the Service Provider’s ability to provide services. Therefore, Client agrees not to solicit, make offers of employment, or hire in any capacity, either directly or indirectly, or enter into any consulting relationships or agreements with, any Winmill or Service Provider associated with this Agreement during the term of this Agreement and for a period of one (1) year thereafter. If Client violates this prohibition, Client shall immediately pay to Winmill an amount equal to twice the annual compensation of the Winmill personnel solicited or hired, or the amount Winmill would then be liable to the Service Provider pursuant to any agreement with it.
