Common use of No Implied Assumptions Clause in Contracts

No Implied Assumptions. The Parties acknowledge and agree that any assumptions, including but not limited to general business assumptions, assumptions concerning key performance requirements, and comments concerning the terms and conditions, shall be deemed to have been rejected and will not be a part of the Agreement unless and to the extent the Parties have expressly agreed in writing to include them.

No Implied Assumptions. The Parties acknowledge and agree that any assumptionsassumptions contained in the Proposal, including but not limited to general business assumptions, assumptions concerning key performance requirements, and comments concerning the terms and conditions, shall be deemed to have been rejected and will not be a part of the Agreement unless and to the extent the Parties have expressly agreed in writing to include them. Notwithstanding the foregoing, the Parties acknowledge that certain assumptions have been expressly incorporated in the Exhibits attached to this Signature Document, and that those assumptions have been accepted by the Parties and are included in the Agreement.
