Common use of No Individual Liability Clause in Contracts

No Individual Liability. All covenants, stipulations, promises, agreements and obligations of the Borrower or the Lender, as the case may be, contained herein shall be deemed to be the covenants, stipulations, promises, agreements and obligations of the Borrower or the Lender, as the case may be, and not of any member, director, officer, employee, servant or other agent of the Borrower or the Lender in his or her individual capacity, and no recourse shall be had on account of any such covenant, stipulation, promise, agreement or obligation, or for any claim based thereon or hereunder, against any member, director, officer, employee, servant or other agent of the Borrower or the Lender or any natural person executing this Agreement or any related document or instrument; provided that such person is acting within the scope of his or her employment, membership, directorship or agency, as applicable, and not in a manner that constitutes gross negligence or willful misconduct.
