No Inducements. (a) The Supplier will not, and will ensure that its employees, agents and contractors will not, directly or indirectly, offer, promise, agree to pay, give, accept, or solicit anything of value (including to or from any third party) in order to secure any reward or improper benefit other than payment for the performance of its obligations under this Agreement. (b) The School Council may terminate this Agreement immediately on notice to the Supplier if the Supplier or any of its employees, agents and contractors is found to have engaged in any conduct under clause 16(a) and recover the amount of any loss resulting from such termination as a debt due from the Supplier.
