No Injunctions; etc. No court or governmental injunction, order or decree prohibiting the purchase and sale of the Shares and the Warrants will be in effect. There will not be in effect any law, rule or regulation prohibiting or restricting the sale or requiring any consent or approval of any individual, corporation, partnership, limited liability company, trust, association or other entity or organization, including a government or political subdivision or an agency or instrumentality thereof (each, a “Person”) that has not been obtained to issue and sell the Shares and the Warrants to Purchasers.
