No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any order, executive order, stay, decree, judgment or injunction (preliminary or permanent) or statute, rule or regulation which that is in effect and which that has the effect of making the Merger Asset Sale illegal or otherwise prohibiting consummation of the Merger Asset Sale or the other transactions contemplated by this Agreement.

No Injunctions. No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any order, executive order, stay, decree, judgment or injunction (preliminary or permanent) or statute, rule or regulation Legal Impediment which is in effect and which has the effect of making the Merger or the other transactions contemplated hereby illegal or otherwise enjoining, restraining, preventing or prohibiting consummation of the Merger or the other transactions contemplated by this Agreementhereby.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any order, executive order, stay, decree, judgment or injunction Order (preliminary or permanent) or statute, rule or regulation Law which is in effect and which has the effect of making the Merger Closing illegal or otherwise prohibiting consummation of the Merger or the other transactions contemplated by this Agreement.

No Governmental Entity Authority of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any orderLaw or Order (whether temporary, executive order, stay, decree, judgment or injunction (preliminary or permanent) or statute, rule or regulation which is in effect and which has prohibits or makes illegal the effect of making the Merger illegal or otherwise prohibiting consummation of the Merger or the other transactions transaction contemplated by this Agreementhereby.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any order, executive order, stay, decree, judgment or injunction (preliminary or permanent) or statute, rule or regulation which is in effect and which has the effect in the United States or any State thereof of making the Merger illegal or otherwise prohibiting consummation of the Merger or the other transactions contemplated by this Agreement.

No Governmental Entity or federal, state or foreign court of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any order, executive order, stay, decree, judgment or injunction (preliminary or permanent) or statute, rule or rule, regulation which is in effect and which has the effect of making the Merger Transaction illegal or otherwise prohibiting consummation of the Merger or the other transactions contemplated by this AgreementTransaction.

No Governmental Entity of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any order, executive order, stay, decree, judgment or injunction (whether temporary, preliminary or permanent) ), which remains in effect, and no Law shall have been enacted or statutepromulgated and be in effect, rule or regulation which is in effect and each case, which has the effect of making the Merger transactions contemplated by this Agreement illegal or otherwise prohibiting or enjoining the consummation of the Merger or the other transactions contemplated by this Agreementhereby.
