Notwithstanding anything in this Agreement to the contrary, none of the Company, ParentBCHI, Merger Sub, the Surviving Corporation, the Exchange Agent Company or any other person shall Person will be liable to any former holder of Shares for any amount properly delivered to a public official pursuant to any applicable abandoned property, escheat or similar Law.
